IMPORTANT: READ CAREFULLY BEFORE ACCESSING OR USING RHYMOYA’S PROPRIETY LIFE ENHANCEMENT SYSTEM INCLUDING ANY AUDIO AND OR VIDEO PRESENTATIONS AND PROGRAMS ASSOCIATED WITH THE RHYMOYA PLATFORM. BY ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEGE THAT (A) YOU HAVE READ THIS AGREEMENT; (B) YOU UNDERSTAND IT; (C) ARE CONSENTING TO THIS AGREEMENT VOLUNTARIALY AND (D) ACCEPT AND AGREE TO ALL TERMS AND CONDITIONS LAID OUT HERE IN AND WILL BE BOUND TO SAID AGREEMENT. IF YOU DO NOT AGREE, DO NOT UNDERSTAND, OR DO NOT ACCEPT THIS AGREEMENT, DO NOT ACCESS OR USE THE RHYTHMOYA PLATFORM IN ANY CIRCUMSTANCE, INCLUDING BUT NOT LIMITED TO AUDIO AND/OR VIDEO PRESENTATIONS, CHATS & CHANNELS, AND/OR PROGRAMS ASSOCIATED WITH RHYTHMOYA AND CONTACT US IMMEDIATELY AT:

Definitions

In these Membership Terms:

  • “User”: an individual who has agreed and is bound by this contract and to the terms and conditions laid out here in, and has downloaded and is using Rhythmoya’s FREE version and has yet to join the Rhythmoya Member community.

  • “Member”: an individual who has agreed and is bound by this contract to the rules of the Rhythmoya community and standards who has successfully upgraded their account from User, having either made their first monthly, quarterly or annual payment.

  • “Source Consulting”: the owner of the membership site and the entity with the right to seek legal action if a member breaches any of the Terms and Conditions.

  • “Specialist”: A third party expert or company who provide subject matter expert content to the Members or Rhythmoya

  • “Us”: Source Consulting, Clay Moffat and any other individuals (team members, outside specialists, etc) working with Clay to serve the Rhythmoya community.

 

Membership Obligations

  1. You can only ever upgrade from USER and join us as a Member of Rhythmoya once and can only do so using your names as written on your government ID and this will be verified. Failure to create your account using your names as they appear on your government ID (in Latin/Roman alphabet) will result in that account being disqualified for upgrading.

  1. If you quit or have your membership revoked for any reason, it will mean your name is now blacklisted and you will not be allowed to re-enter. Re-entry using someone else’s ID constitutes an act of fraud and both you and the person’s ID you’re using will be reported to the local authorities in your area when you are caught. The name listed on the ID you are using (if consensual) will be blacklisted as well.

  1. When you apply to join Rhythmoya, you’re automatically accepted and it is understood that if you as a Member breach any of the Chat & Channel Rules, or any of the rules laid out within these Terms & Conditions, that it will result in immediate termination of your membership.

  1. Rhythmoya has a 30-day money-back guarantee, afterward, no refunds will be given on membership fees that have already been paid – whether they have been paid monthly, quarterly or annually.

  1. If you decide to cancel your monthly, quarterly or annual membership, you can do so at any time. If you choose to cancel within 30 days of payment, you will receive a full refund of the current payment cycle only. If you cancel your membership outside of the 30-day window, you forfeit any right to refund. If you decide to cancel, and it is within the 30-day window, your membership will be revoked and your refund will immediately be processed from Rhythmoya’s accounts. Refund time will depend on your financial institution’s rules and regulations.

  1. You are disqualified from refunds if you conduct yourself in any way that breaches the rules of the Chat’s & Channels or these terms and conditions. Additionally, if you are found to insult, provoke or spam members privately, your membership will automatically be revoked again without refund.

  1. If you create a problematic or argumentative environment, act in any other way that goes against Rhythmoya guidelines within your first 30 days you are not entitled to a refund of your membership fee even if you’re within the 30-day money-back guarantee.

  1. If you are evicted from the membership by Clay Moffat (the owner) for a legitimate reason (see below) before your membership has officially expired, you are not entitled to a refund on any membership fees that have been paid for this duration. Legitimate reasons include:

  • publicly speaking negatively about the community, Clay Moffat, any of the specialists, or any of the members;

  • any fraudulent activity such as illegal online/offline activities, fraudulent chargebacks (on any products/services by Clay Moffat or other business owners) or similar;

  • participating in any online or offline scams;

  • creating a negative environment inside the community (e.g. fighting with people, insulting people, creating arguments).

  • engaging in political, religious, or discriminating conversations anywhere within the Rhythmoya platform or communication channels.

  • Spamming other members, specialists, or Clay Moffat with any kind of unsolicited offer outside of the Marketplace channel.

Rules of Conduct

9. Members shall at all times act with integrity and avoid conflicts of interest and avoid any actions or situations that are inconsistent with the Terms and Conditions written on this page or contained within the platform itself.

10. Members shall at all times be mindful of their attitude and behavior towards other members. Discrimination, insults, and violent behavior of any kind will not be tolerated and will result in termination of the membership. We reserve the right to share not only testimonials publicly, but also any activity that can be deemed as fraudulent, to warn other people.

 

Rules of Use and Intellectual Property Rights

11. The platform Membership Area consists of a variety of video training and audio recordings. By entering the area through your paid/free membership, you agree that all the content inside is solely meant for your personal use and you do not have any rights to download it, share it, transfer it or reproduce it unless you have Clay Moffat’s/Source Consulting’s written consent.

10. You are forbidden from screenshotting anything from within the Rhythmoya platform and sharing it anywhere else, as well as sharing your password with other people so they can log in.

12. You are responsible for each and every access or use of the membership site that occurs in conjunction with use of your username and password.

13. Use of your username and password is conclusive evidence that you have accessed the Membership area of the sites.

14. You must keep your username and password confidential.

15. You must not allow any third party to access the site using your username and password and take advantage of the site on your behalf by viewing any of the content. When a member is caught doing so, this will be reported as fraud to your local authorities.

  

Payments

16. Payments can be made via Stripe (preferred) and Paypal and will continue to occur on a monthly or quarterly basis unless you choose to upgrade to an Annual member.

17. Should there be an issue with your payments and you are unable to make them, we reserve the right to suspend your access to all of the membership resources until you have submitted all outstanding fees. Not being able to pay outstanding monthly fees prior to the end of the 6-month commitment does not mean you can simply stop paying. The membership fees will be cleared in a timeframe agreed upon by you and Source Consulting, until you cover all the necessary payments. After this is done, it will be agreed by the same parties whether you can keep your membership or not. Interest may occur for late payments.

18. Your membership fee will remain the same throughout your membership unless you decide to upgrade or downgrade it to another membership plan. We do not reserve the right to change it without your written permission. If you choose to change plan, you will be changing into the present-day rates, and agree to forfeit any discounted rate that you was made available to you at time of sign up.

Indemnity


19. If a member is found to be negligible of any of the terms and conditions and membership rules, he/she agrees to keep us indemnified of all losses, expenses, damages, and costs incurred by us in respect of any misleading statements, and/or acts, and/or omissions that may be carried by him/her against us.

20. If a member does not get the desired results as part of the membership, he/she agrees to not pursue any legal action against Source Consulting or any other Specialist or Member of the membership community. We cannot be held responsible for whether members choose to implement our teachings and advice, and for whether they implement them in the right way.

21. All presentations are for information and learning purposes and in no way are medical, nor legal, nor financial advice. Users and Members agree to hold free from harm Clay Moffat, Specialists and Source consulting and are to proactively consult their respective licensed professional for personal consultation.

22. You agree that participation in this training is voluntary and at your own risk. You agree to hold harmless Clay Moffat and any of his representatives for any results (or lack thereof) that you may experience.

23. You agree that you are a healthy and stable individual, and that you do not have any current medical or psychological conditions which would in any way impair your functions in this platform, or disrupt the positive experience of the other participants.

24. You agree that if you are taking any form of prescribed medication that you will continue to take this medication throughout your use of this platform and will not discontinue its use during the lifetime of your membership unless directed to by your medical practitioner. You agree that if your behavior is inappropriate due to your misuse of medication, you may be asked to leave the platform.

25. You agree that this training is not a substitute for on-going counseling or psychotherapy and that any unresolved issues which may surface and which may warrant counseling will be addressed outside of the training at your expense from a provider of your own choosing and at your own risk.

26. You agree to hold harmless Clay Moffat as well as any of his representatives for any of the choices you make during your use of the platform and membership and for the results of any portion of the training, which is voluntarily for you to participate as you’re free to cancel your membership at any time.

27. You understand that personal results will vary and there are no expressed or implied guarantees or warranties of results.

28. You are aware that this program is non-medical in nature and for any changes in medications or medical questions or needs, you will consult your health care practitioner.

29. You understand that some of the mental processes used can bring up unconscious memories, images or metaphors.

30. You understand there are voluntary sessions that use Binaural Beat technology. If I have a tendency towards seizures, auditory disorders, or adverse mental condition(s) you acknowledge that you have consulted with your physician and have their approval to participate in these sessions.

 

Confidentiality

31. All members agree to keep any and all Confidential information obtained about any of the other members or Clay Moffat confidential. “Confidential information” relates to any information concerning the business, finances, or affairs of the other members which is not in the public domain. This clause shall survive termination of the membership Contract.

 

General

32. Any party that has paid monthly, quarterly or annual membership will be bound by this agreement and will be reliant on these terms as caught under the Privity of contract Australia.

33. Agreement is confirmed by submitting the first monthly payment, as the agreement must be acknowledged prior to first use of the platform.

34. The Terms and Conditions of this website shall constitute the entire agreement between you, Clay Moffat and Source Consulting LLC and shall supersede all prior engagements, written or oral, relating to the subject matter.

35. Should any of these terms come into dispute, they shall be interpreted under the context of Australian Law.

36. We reserve the right to choose to use the Courts of Australia to govern any disputes that may arise, however dependent on the domicile of a member of a particular country, reserve the right to bring proceedings in the residence of that country.

37. If for any reason any of the clauses contained within this agreement are deemed to be invalid in the eyes of a court in a particular jurisdiction, then we reserve the right to rely on the enforceability of all remaining terms under this agreement.

38. We reserve the right to alter our terms and conditions. By using our website and platform, you are automatically bound by these terms and the onus is on you to keep yourself informed of any changes that we carry out, without further notice to you.

39. Rhythmoya’s Site and Application may contain links to other websites or content belonging to or originating from third party providers. This includes links to websites, banners, and other advertising. Any external links are not investigated, monitored, or checked in anyway for accuracy, validity, reliability, or availability by us. As such we do not warrant, advocate, support, guarantee or asume responsibility for the accuracy nor reliability of any information offered by third party providers through any means available to you the end user/member. We will not be party to or in any way responsible for monitoring any transaction between you and third-party providers under any circumstances.

40. The site may contain testimonials by users of our products and/or services. These testimonials reflect actual real-life results, experiences and opinions of said users/members. The experiences recorded are those of the individual and are not intended to represent all users experience of our products or services. No users have any guarantee made by us explicitly or implicitly that you will experience similar results and/or experiences.

41. Testimonials on the site are submitted in a variety of forms such as video, audio and/or text and are reviewed before being displayed. All testimonials are a duplicate of the original with the exception for grammatical and typing errors. Some testimonials have been shortened given the personal nature of some testimonials and the information not being relevant or appropriate for public display.

42. Any views contain within any testimonial are the views of the individual and do not reflect neither our opinions or views. We have zero affiliations with users/members who provide testimonials and there is no compensation for any testimonials used.

43. Testimonials should not be interpreted as claims that Rhythmoya and/or its services can be used to diagnose, treat, mitigate, cure, prevent or otherwise be used for any disease or medical condition. All testimonials are anecdotal and not clinically proven nor verified.
